Terms
1.1 By accessing this web site, you are agreeing to be bound by these web site Terms and Conditions of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this web site are protected by applicable copyright and trade mark law.
Use License
2.1 Permission is granted to temporarily download one copy of the materials (information or software) on Task Guardian LLC’s web site for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

- modify or copy the materials;
- use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
- attempt to decompile or reverse engineer any software contained on Task Guardian LLC’s web site;

Limitations
4.1 In no event shall Task Guardian LLC or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on Task Guardian LLC’s Internet site, even if Task Guardian LLC or a Task Guardian LLC authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
Revisions and Errata
5.1 The materials appearing on Task Guardian LLC’s web site could include technical, typographical, or photographic errors. Task Guardian LLC does not warrant that any of the materials on its web site are accurate, complete, or current. Task Guardian LLC may make changes to the materials contained on its web site at any time without notice. Task Guardian LLC does not, however, make any commitment to update the materials.

Site Terms of Use Modifications
7.1 Task Guardian LLC may revise these terms of use for its web site at any time without notice. By using this web site you are agreeing to be bound by the then current version of these Terms and Conditions of Use.
Governing Law
8.1 Any claim relating to Task GuardianLLC’s web site shall be governed by the laws of the State of Kentucky without regard to its conflict of law provisions. General Terms and Conditions applicable to Use of a Web Site.
Lawful Conduct
9.1 Task Guardian LLC shall not knowingly engage in the course of any activity, undertaking or project that is unlawful or illegal under the laws of the place in which the activity occurs.
Liability
10.1 Except if Task Guardian LLC is judged to have acted negligently, or tortiously, Task Guardian LLC shall not be liable to Client for claims for incidental, special, indirect, or consequential damages of any nature connected with or resulting from its performance under this Agreement and Client waives any and all right it may have to hold Task Guardian LLC liable for any such damages.
Service & Payment Agreement
11.1 Task Guardian LLC shall bill you according to the agreed upon rate (to be determined per individual).
11.2 Upon receipt of Task Guardian LLC’s invoice you will process billings promptly and remit payment to Task Guardian within ten (10) business days after an invoice is received by you. Task Guardian LLC reserves the right to assess a service charge on any invoice outstanding beyond thirty (30) days. Payments should be sent via Paypal to Nikki@TaskGuardian.com. Instructions for payment by check will be provided upon request.
11.3 If payment remain outstanding for ten (10) business days or more, Task Guardian LLC reserves the right to terminate services with no notice required.
11.4 If Task Guardian LLC must engage counsel or otherwise expend funds to collect bills over sixty (60) days old, Client agrees to reimburse Task Guardian LLC for all associated fees and costs, plus interest on the outstanding balance.
11.5 Task Guardian LLC is only responsible for providing the agreed upon services and hours (to be determined per project), no more, no less.
11.6 By remitting your first payment you agree to all of the Terms and Conditions listed within this document.
Termination
12.1 Either party may terminate the service provided by Task Guardian LLC upon thirty (30) days written notice to the other. Termination shall become effective thirty (30) days following the date any such notice is received by the other party.
12.2 No refunds are provided for unused hours, and/or for clients who ask us to stop work on their projects.
12.3 Thirty (30) days notice is not required for Task Guardian to terminate services effective immediately should the client payment be outstanding for 10 (ten) business days or more, see “Service & Payment Agreement” section 11.3.
Contract Labor & 1099 Forms
13.1 The role of your virtual assistant via Task Guardian within your organization is as contract labor; not as an employee. We claim income received, and as such, expect to receive a form 1099 from our clients for tax purposes.

New Year’s Day
Good Friday
Memorial Day
Labor Day
Thanksgiving Day
‘Black Friday’ (day after Thanksgiving)
Christmas Eve
Christmas Day
